1. Regulatory Status
1.1 Not a Registered Financial Institution
Torque is not a bank, credit union, money transmitter, or other regulated financial institution. Our Products are non-custodial software interfaces that enable you to interact with decentralized blockchain protocols. We do not hold, custody, or control your crypto assets at any time.
1.2 Not Registered with Securities Regulators
Torque is not registered with the U.S. Securities and Exchange Commission (SEC), the U.S. Commodity Futures Trading Commission (CFTC), or any other securities or derivatives regulator in any jurisdiction. We do not broker trades, execute trades on your behalf, or act as a counterparty to your transactions.
1.3 Not FDIC Insured
Our Products are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other government insurance program. Crypto assets held in your wallet are not protected by deposit insurance and are subject to loss.
2. No Investment Advice
Torque does not provide investment, financial, legal, or tax advice. Any information provided through our Products, including market data, token information, or educational content, is for informational purposes only and should not be construed as investment advice or a recommendation to buy, sell, or hold any crypto asset.
All trading decisions are made by you at your own discretion. You are solely responsible for evaluating the merits and risks associated with any transaction you initiate through our Products.
AI Assistant Disclaimer: Torque may provide an AI-powered assistant feature that allows you to interact with our Products using natural language prompts. This assistant is powered by third-party AI services (including but not limited to Google's Gemini via Vertex AI) and is designed to help you research information, understand our Products, and execute transactions based on your instructions. However, the assistant does not provide investment, financial, legal, or tax advice. Any responses, suggestions, or information provided by the assistant are for informational and convenience purposes only and should not be construed as investment recommendations or financial advice.
The assistant may help you research crypto assets, analyze market data, or execute transactions based on your explicit instructions, but all such actions are performed at your direction and for your account. You remain solely responsible for all decisions and transactions, regardless of whether you used the assistant feature. The assistant does not make investment decisions on your behalf, and any execution of transactions through the assistant is based solely on your instructions and authorization.

3. Risk Disclosures
3.1 Market and Volatility Risks
Crypto asset markets are highly volatile and subject to rapid price fluctuations. The value of crypto assets can decrease significantly and may become worthless. Past performance is not indicative of future results. You may lose some or all of your investment.
3.2 Technology Risks
Blockchain technology and smart contracts are experimental and may contain bugs, vulnerabilities, or other technical issues that could result in loss of funds. Network congestion, forks, and other technical events may affect transaction processing times and costs.
3.3 Smart Contract Risks
Transactions executed through our Products interact with smart contracts deployed on public blockchains. These smart contracts may contain bugs, be subject to exploits, or fail to execute as intended. We do not control or operate these smart contracts and cannot reverse or modify transactions once executed.
3.4 Liquidity Risks
Crypto asset markets may experience periods of low liquidity, which can result in significant price slippage, difficulty executing trades, or inability to exit positions at desired prices.
3.5 Regulatory Risks
The regulatory landscape for crypto assets is evolving and varies by jurisdiction. Changes in laws, regulations, or enforcement actions may affect the availability, legality, or value of crypto assets and related services. Your use of our Products may be restricted or prohibited in certain jurisdictions.
3.6 Counterparty and Protocol Risks
When you interact with decentralized protocols through our Products, you are subject to the risks associated with those protocols, including protocol failures, governance changes, and the actions of other protocol participants. We do not control these protocols and are not responsible for their operation or failures.
3.7 Cross-Chain Bridge Risks
Cross-chain bridges and wrapped assets carry additional risks, including bridge failures, asset depegging, and loss of funds. We do not operate or control any cross-chain bridges and are not responsible for bridge-related losses.
3.8 Lending and Borrowing Risks
If you use lending or borrowing services through our Products, you are subject to additional risks, including:
- Liquidation risk if your collateral value declines below required thresholds
- Interest rate volatility that may affect borrowing costs or lending returns
- Protocol-specific risks, including smart contract failures and governance changes
- Collateral depegging or loss of value
3.9 Staking Risks
If you stake assets through our Products, you are subject to risks including:
- Slashing penalties for validator misbehavior
- Lock-up periods during which you cannot access staked assets
- Network and protocol-specific risks
- Potential loss of staked assets
3.10 Wallet and Security Risks
You are solely responsible for securing your wallet, private keys, and seed phrases. Loss of private keys or seed phrases may result in permanent loss of access to your crypto assets. We do not have access to your private keys and cannot recover lost wallets or assets.
4. No Guarantees or Warranties
Our Products are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:
- Uninterrupted or error-free operation of our Products
- Accuracy, completeness, or timeliness of information provided
- Best execution or optimal pricing for transactions
- Security against all threats or attacks
- Compatibility with all wallets, devices, or networks
5. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TORQUE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR CRYPTO ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF OUR PRODUCTS.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR THE AMOUNT OF FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
6. Tax Obligations
You are solely responsible for determining and fulfilling your tax obligations related to transactions conducted through our Products. Crypto asset transactions may have tax consequences, including income, capital gains, or other taxes. We recommend consulting with a qualified tax professional.
7. Geographic Restrictions
Our Products may not be available or may be restricted in certain jurisdictions. It is your responsibility to ensure that your use of our Products complies with all applicable laws and regulations in your jurisdiction. We may restrict or block access to our Products from certain jurisdictions at our discretion.
8. No Fiduciary Relationship
Torque does not act as your fiduciary, financial advisor, or agent. We do not owe you any fiduciary duties. All transactions are self-directed by you, and we do not provide personalized investment advice or recommendations.
9. Third-Party Services and Protocols
Our Products may integrate with or provide access to third-party services, protocols, and smart contracts. We do not control, operate, or endorse these third-party services and are not responsible for their operation, security, or failures. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
